What is an SEC Form 4?

Officers, directors and 10% owners of a public company must report trades in its stock to the SEC on Form 4, generally within two business days. Insiders sell for many reasons, such as taxes, diversification or pre-planned 10b5-1 sales, so purchases are usually read as the more informative signal. Several insiders buying the same stock within days of each other is stronger still: see cluster buys, or how these signals have performed in backtested strategies.
